Terms of Service

1. Acceptance

By creating an account or using any IDProval service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the service.

2. Description of service

IDProval provides an identity verification platform including document authentication, biometric checks, age verification, and related APIs. We may update or change the service at any time; where changes are material we will provide advance notice.

3. Account terms

You are responsible for maintaining the security of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised access. Accounts must not be shared between organisations without explicit written permission.

4. Acceptable use

You may use the service only for lawful purposes and in accordance with applicable data protection and KYC/AML regulations. You must not use the service to verify individuals without a lawful basis, to discriminate unlawfully, or to circumvent regulatory obligations. We reserve the right to suspend accounts that violate this policy.

5. Payment

Fees are charged in accordance with the plan you select. Subscription fees are billed in advance. Usage above included limits is billed in arrears. All fees are non-refundable except where required by law or expressly stated otherwise.

6. Intellectual property

IDProval retains all rights in the platform, software, and documentation. You retain all rights in the data you submit. We grant you a limited, non-exclusive licence to access and use the service for the purposes described in these Terms.

7. Limitation of liability

To the maximum extent permitted by law, IDProval's aggregate liability for any claim arising from these Terms or the service is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

8. Termination

Either party may terminate by providing 30 days written notice. We may suspend or terminate immediately for material breach, non-payment, or violation of the acceptable use policy. Upon termination, your data will be handled in accordance with our Privacy Policy and any applicable data processing agreement.

9. Governing law

These Terms are governed by the laws of Delaware, USA. Disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
